Partnership Agreement

First off, let us say thanks. We're excited that you're interested in joining OrderEZ's Service Partner Program to help our effort to bring efficiency, insights, and exceptional outcomes to the operational world of food and beverage.

Any reference to "Us", "We", or "Our" is to OrderEZ Pte. Ltd., a Singapore private limited company with its registered address at 279 Outram Road #01-01 Singapore 169066. Any reference to "The Solution" means the software services We offer. Any reference to "You", "Your", or "Service Partner" refers to you and the organisation you represent. "Clients" refers to the end-user of The Solution.  By "Parties", we mean you, the organisation you represent, as well as OrderEZ and by "Party" we refer to either You or Us. "Services" refers to any paid or otherwise rendered services delivered by You to Clients.

This Agreement lays out the rights and responsibilities of the Parties.

The goal of the OrderEZ Service Partner Program is to give You a structured path to provide value-added Services to Clients using The Solution, help Us support You in that effort, and ultimately ensure Clients are served in the best way possible.

OrderEZ's obligations to Service Partners are:

  • List Service Partners on our Services Partner directory page on our website and display your logo, a blurb about You, and your "special offer" (as detailed below), in connection with OrderEZ.
  • Facilitate capturing and sharing expressions of interest from OrderEZ customers visiting the site who seek to connect with any Service Partner displayed.
  • Provide frontline support to Service Partners, facilitating your ability to support Clients directly through your Services.
  • Provide onboarding training to Service Partners to such a degree that you are 'certified' implementers of OrderEZ.
  • Provide account management services to Service Partners to the effect of mutually engaging Clients, setting up demo accounts and generally collaborating on sales and promotional activities.
  • Provide a limited license to use Our logo, a blurb about Us, and to display on your website and for use in any digital marketing.
  • Display Your logo, a blurb about You, and your "special offer" in connection with OrderEZ.
  • Provide a discounted rate of The Solution to Service Partners, which You can pass onto Client as a discount or retain.

Service Partners obligations to OrderEZ are to:

  • Successfully refer a minimum of one new Client to The Solution within three (3) months of signing up and two (2) Clients every quarter after that.
  • Promote The Solution to your clients where relevant.
  • Attend trainings on The Solution as necessary to ensure you can provide a credible introduction to The Solution.
  • Provide a limited licence to use your logo, a blurb about You, and your "special offer" in connection with OrderEZ for use on the Services Partner directory page of our website.
  • Follow our Service Level Agreement as outlined below. Precisely to avoid generating unrealistic expectations with your Clients.
  • Provide a "special offer" of your services to Clients. This "special offer" will be displayed on Our partner page and needs to be specific, but can be changed from time-to-time through discussion with Us.
  • Indemnify Us against all losses, costs, expenses, liability, and demands that we incur arising out of or in connection with a third-party claim against us relating to your use of The Solution (except where we are at fault).

OrderEZ and Service Partner agree:

  • That The Solution is a tool and that the use of the tool is the responsibility of the individual. Neither Party shall be responsible for the advice or work product of the other.
  • To keep Clients and the Parties data secure and safe.
  • That Clients may be using additional third-party services and providers in addition to The Solution and that neither Party is responsible for the upkeep and reliability of these third-party solutions.
  • That the Parties intend for this to be a contractual relationship and shall not be construed to give You or Us the right as an agent or employee of the other, and that neither Party shall be empowered to bind the other Party.
  • Except as expressly provided in this Agreement nothing shall function to transfer or grant the other Party any interest in the other's intellectual property.
  • Although We will work very hard to support You and our Clients, We cannot provide 24/7 support 365 days per year. We will be available to support you during Singapore business hours Monday through Friday from 9am to 5pm, excluding public holidays via our chat function embedded in our website. Additionally, we will reply to any support emails within one business day.
  • A Party's failure or neglect to enforce any of its rights under this Agreement shall not be deemed to be a waiver of its rights.
